Creator agreement

This is an agreement between you, the creator, and Vantr. It covers the short-form videos you make for Vantr and how both of us can use them.

You are working for yourself here, not as an employee of Vantr. You choose how and when you work, you cover your own taxes, and nothing in this agreement makes you staff, a partner, or an agent of Vantr.

The video is yours. You made it and you keep the copyright in it. Vantr is not buying it from you and is not asking you to sign it over.

What you are giving Vantr is permission to use it, described below. That permission is non-exclusive, which means you can still use the video yourself and can still work with other brands, including brands that compete with Vantr.

There are two different things a brief can ask you for, and it will always say which.

The first is the video itself. Vantr gets a marketing asset it can use on its own accounts and in its own ads. The second is posting it to your audience, where what Vantr is paying for is reach to the people who follow you.

Some briefs ask for one, some ask for both, and they can pay differently. A brief that does not ask you to post carries no posting obligation, and nothing in this agreement requires you to put a video on your own account unless the brief for that video says so.

You give Vantr a worldwide, royalty-free, non-exclusive licence to use the video you deliver for marketing and promoting Vantr. There is no extra payment for any of the uses listed here beyond the fee already agreed for the video.

So that a video made for one place can work in another, Vantr may make reasonable edits without asking you each time.

That means cutting it down, cropping or resizing it, changing the thumbnail, adding subtitles, captions, graphics, music or Vantr branding, and combining it with other footage.

Vantr will not edit your video in a way that changes what you actually said, puts words in your mouth, or makes it look like you are endorsing something you did not agree to.

Because your face and voice are in the video, Vantr also needs your permission to use them. You give Vantr permission to use your name, username, voice, image, likeness and appearance as they already appear in the video you delivered, only as part of using the video under this agreement.

This does not let Vantr use your name or face on anything else, or suggest you are a spokesperson for Vantr beyond the videos you actually made.

Advertising run from your account is a separate thing, and it is optional.

Platforms call it Spark Ads, Partnership Ads or whitelisting depending on where you are. It means an ad running under your handle, to people who see it as a post from you, rather than an ad from Vantr's account.

That is not included in the licence above. Vantr will only do it if you say yes to it separately, and you can withdraw that yes at any time by telling us, which stops any new spend through your account.

Vantr may use the video for 12 months from the day you deliver it. After that, Vantr stops running it in new places and stops any paid advertising that uses it.

If Vantr wants to keep using a video past that point, we come back to you and agree it, usually with more payment.

Two practical exceptions: copies already printed or already shipped inside an app store listing do not have to be recalled, and Vantr may keep the video in its internal records after the 12 months are up. Neither is a right to keep publishing it.

When a brief asks you to post the video yourself, you agree to post the approved version on the accounts named in that brief, at roughly the time it asks for.

You agree to tag @Vantr and to include whatever disclosure the brief specifies, such as marking it as a paid partnership or using #ad. This is not optional politeness, it is what advertising rules require, and it protects you as much as it protects Vantr.

Leave the post up for at least 30 days. If you need to take it down sooner, tell us why and we will sort it out. You will not be penalised for taking down a post because of something happening in your own life.

So that approval is not a matter of taste: a video is approved when it follows the brief, includes the talking points the brief asks for, meets the technical requirements in the brief, and arrives in a usable file format.

Vantr may ask for revisions before approving. One round of reasonable revisions is included in the fee. Anything beyond that only happens if we both agree to it, including what it pays.

Once a video meets the requirements in the brief, it is approved and it gets paid. Vantr does not get to withhold payment on a video that met the brief because it did not perform.

The fee per approved video, how you are paid and when you are paid are set out before you start work, and they will not change for work you have already agreed to make.

When a brief asks you to post, payment goes out within 7 business days of the approved video being posted and you sending us the link to it. When a brief asks only for the video, payment goes out within 7 business days of approval. You should not have to chase us for it.

You pay nothing to take part. Vantr will never ask you for a fee, a deposit, or to buy anything to be a Vantr creator.

Vantr asks for a payment handle such as a PayPal address or a Venmo or Cash App username. Vantr does not ask for and will not accept bank account numbers, card numbers or government ID through this process.

That the video is your own work, that you have the right to give Vantr the permission described here, and that you have not used music, footage, fonts or anything else you do not have the rights to.

That anyone else appearing or heard in the video has agreed to be there and to it being used this way, and that they are an adult, unless we have agreed otherwise in writing.

That what you say about Vantr in the video is your honest opinion and that you have not been told to say something untrue.

Either of us can stop working together at any time, for any reason, by saying so. Vantr pays for any video already approved, and for any video already delivered that then meets the brief.

Ending the working relationship does not end the 12 month licence on videos already delivered. If you need a specific video pulled for a serious reason, such as a legal problem or something that has happened in your life, tell us and Vantr will take it down.

This agreement, together with the brief for each video, is the whole agreement between us about this work. Changes need to be in writing and agreed by both of us.

If any part of this turns out to be unenforceable, the rest still stands.

This agreement is governed by the laws of the State of Ohio, United States.
